Terms of use

The terms that apply to each User of the EverReady Service, alongside the agreement between EverReady and their organisation.

Terms applicable to Users of the EverReady.ai Service — Version 3.0 — September 2026

Article 1: Purpose

EverReady, a French simplified joint-stock company (SAS) registered with the Nanterre Trade and Companies Register under SIRET number 879 848 919, with its registered office at 21 rue Saint Vincent — 92700 Colombes, France (“EverReady”), publishes and operates a professional software platform for sales teams (the “Service”).

These terms of use (the “Terms of Use”) define the conditions under which a natural person (the “User”) accesses and uses the Service, in the course of their professional activity, on behalf of the organisation that employs or is represented by them (the “Customer”).

The Service is reserved for professional use. It is not intended for consumers or for minors.

The contractual and commercial relationship relating to the Service is established between EverReady and the Customer and governed by the general terms and conditions agreed between them (the “Terms”). These Terms of Use cover only the conditions of individual access to and use of the Service by the User. In the event of any conflict, the Terms and the data processing agreement appended to them (the “DPA”) prevail over these Terms of Use.

Article 2: Acceptance

Access to the Service is subject to the User's prior and unreserved acceptance of these Terms of Use. Any use of the Service constitutes acceptance.

These Terms of Use also apply to updates and changes to the Service, except where these are subject to separate conditions.

Article 3: User account and access security

On first use, the User is provided with a personal account giving access to the Service (the “Account”). The Account is strictly personal and issued in the User's name.

The User undertakes to provide accurate and up-to-date information, to keep their credentials and passwords strictly confidential, not to disclose them to any third party, and to inform EverReady or their administrator without delay in the event of loss, theft or unauthorised use.

The User shall not create or use any account other than the one allocated to them, whether under their own identity or that of a third party.

EverReady shall not be liable for any third-party use of the Account resulting from the User's failure to comply with these obligations. The creation, suspension and deletion of accounts are matters for the Customer and its administrator.

Article 4: Conditions of use of the Service

The User undertakes to use the Service in accordance with these Terms of Use, with the instructions of their organisation and with applicable legal and regulatory provisions.

The User shall not, in particular:

  • access the Service by any means other than that provided by EverReady;
  • use the Service for personal purposes or for purposes unrelated to their professional activity;
  • resell the Service or services incorporating it, or give access to it to any third party;
  • transmit through the Service any unlawful, defamatory, obscene content or content infringing the rights of third parties, or any item containing a virus or malicious program;
  • attempt to reconstitute, decompile or circumvent all or part of the Service, or extract data from it for purposes unrelated to their professional use.

Article 5: Data and content processed by the Service

In the course of their activity, the User transmits to the Service, or grants it access to, professional data: emails, calendar events, business call logs, CRM data and, where the Customer has activated that functionality, meeting recordings and transcripts.

The User is informed that this data, and the content produced from it, belongs to the Customer and not to the User personally. Its retention, deletion and export are matters for the Customer, in accordance with the Terms and the DPA.

Accordingly, the termination of a User's access to the Service, for whatever reason, does not result in the deletion of that data, which remains accessible to the Customer.

The User undertakes not to transmit to the Service any data for which they do not hold the necessary rights and authorisations.

Article 6: Meeting recording

Where the Customer has subscribed to and activated the meeting recording module, the video conferences in which the User participates may be recorded, transcribed and analysed.

The decision to activate this functionality, to define the meetings concerned and to inform participants is a matter for the Customer. The User is informed that it is their responsibility, within the framework defined by their organisation, to signal the recording to participants, to obtain their agreement where required, and to stop the recording if a participant objects.

The User shall not activate recording for meetings whose subject matter involves sensitive data, data covered by a professional privilege, or for meetings of employee representative bodies.

The Service provides the means to stop a recording in progress where the video conferencing platform allows it.

Article 7: Content generated by artificial intelligence

The Service uses artificial intelligence features producing transcripts, summaries, suggested field values, analyses and draft messages.

This content constitutes proposals intended to be reviewed and validated by the User. It may contain inaccuracies or omissions. The User remains responsible for verifying the content they validate, distribute or rely on to take action.

Article 8: Personal data

In connection with the Service, the Customer acts as controller and EverReady as processor within the meaning of Regulation (EU) 2016/679 (“GDPR”). The processing carried out, the categories of data, the retention periods and the sub-processors are described in the DPA entered into between EverReady and the Customer.

The data processed concerning the User includes their surname, first name, business email address, business telephone number, and their access, permission and activity data within the Service.

To exercise their rights of access, rectification, erasure, restriction, objection or portability over that data, the User should in the first instance contact their employer, as controller, or that organisation's data protection officer. Any request addressed directly to EverReady is forwarded to the Customer.

EverReady acts as an independent controller only in respect of the account, billing and technical usage data necessary for managing the contractual relationship, for security and for maintaining the Service in operational condition. Those processing activities are described in EverReady's privacy policy.

The User's data is not used to train artificial intelligence models.

EverReady's data protection officer may be contacted at gdpr@everready.ai. The User has the right to lodge a complaint with the French supervisory authority, the Commission Nationale de l'Informatique et des Libertés, 3 Place de Fontenoy — TSA 80715 — 75334 Paris Cedex 07, or with the supervisory authority of their place of residence.

Article 9: Cookies

Cookies and trackers may be placed on the User's device in order to operate the Service, remember their preferences and measure the use of its features.

The conditions under which they are placed, the information provided and consent obtained, and the means of withdrawing that consent, are described in EverReady's cookie policy. The User may also configure their browser or device. Refusing or deleting certain cookies may affect the operation of the Service.

Article 10: Intellectual property

EverReady retains all intellectual property rights relating to the Service, its interfaces, its documentation and related developments. These Terms of Use entail no transfer of those rights.

EverReady grants the User a personal, non-exclusive, non-assignable and non-sublicensable right to access and use the Service, for the duration of their authorisation by the Customer and for their professional use only.

The User shall not copy, disclose, disseminate, represent, adapt, translate, modify, decompile, sell or sublicense all or part of the items covered by those rights.

Article 11: Confidentiality

The User undertakes to preserve the confidentiality of the information they access through the Service and not to disclose it to third parties, except in the course of their professional activity and in accordance with the instructions of their organisation.

Article 12: Availability and warranties

The Service is provided as is. Given the nature of internet and mobile networks, EverReady does not warrant permanent and uninterrupted access to the Service.

EverReady does not warrant the absence of errors or defects, nor the accuracy of content generated by artificial intelligence. Availability and service level commitments are set out in the Terms agreed with the Customer.

The User shall ensure they have a device compatible with the technical specifications set out in the documentation and running an up-to-date operating system.

Article 13: Liability

The User is responsible for their use of the Service and for compliance with these Terms of Use.

The liability regime applicable between EverReady and the Customer, including limitations and caps, is set out in the Terms. These Terms of Use neither create nor are intended to create a separate liability regime towards the User.

Article 14: Termination of access

The User's access to the Service ends upon termination of their authorisation by the Customer, upon termination of the contract between EverReady and the Customer, or upon breach by the User of these Terms of Use.

In the event of a serious breach, in particular infringement of EverReady's intellectual property rights or unlawful use of the Service, EverReady may suspend the User's access without delay, after informing the Customer.

Termination of access does not result in the deletion of data and content belonging to the Customer, in accordance with Article 5.

Articles 5, 8, 10 and 11 survive the termination of access.

Article 15: Amendment of these Terms of Use

EverReady may amend these Terms of Use to reflect changes to the Service or to applicable regulations. The amended Terms of Use are brought to the User's attention by email or by display when accessing the Service.

Continued use of the Service after such notice constitutes acceptance of the amended Terms of Use.

Article 16: Governing law and jurisdiction

These Terms of Use are exclusively governed by French law. Any dispute that cannot be settled amicably shall be brought before the courts of Nanterre, France, subject to any mandatory rules of jurisdiction.
